TERMS OF SERVICE

Effective Date: September 9, 2026

These Terms of Service (“Terms”) govern purchases of content, marketing services, livestream placements, photography, video production, usage rights, and other services offered by WTI | We Tried It, a brand of Vurn Media LLC (“WTI,” “Vurn Media,” “we,” “us,” or “our”).

By checking a box accepting these Terms, signing an order that incorporates these Terms, or otherwise expressly accepting these Terms in writing, you (“Customer,” “you,” or “your”) agree to these Terms.

You also agree to these Terms when you submit an order or product through an online process that provides a prominent link to these Terms and clearly states that submitting the order or product constitutes acceptance of these Terms.

1. WTI Services

WTI provides product-content creation, product placement, livestream, photography, video, marketing, and related services.

Services may include, but are not limited to:

  • Amazon POV Videos
  • POV Videos with Usage Rights
  • Lifestyle Product Photography
  • Standard Livestream Placements
  • Premium Livestream Placements
  • Vertical or short-form video
  • Social media content
  • Product demonstrations
  • Creator-generated content
  • Content licensing and usage rights
  • Other content or marketing services offered by WTI

The specific deliverables, quantities, pricing, usage rights, and other details displayed on the applicable WTI order page at the time of purchase form part of the agreement between WTI and the Customer.

If there is a conflict between these Terms and a specific written service description or order accepted by WTI, the specific terms of that order will control with respect to that service.

2. Product Eligibility and Acceptance

Submission of an order or product does not guarantee that WTI will accept the product for production, publication, or placement.

WTI may decline any product that we determine is inappropriate, unsafe, incompatible with a creator, inconsistent with platform rules, or otherwise unsuitable for WTI content.

WTI may also decline products or content involving prohibited, restricted, obscene, dangerous, illegal, political, religious, sexually explicit, violent, or otherwise inappropriate subject matter.

WTI’s content must also comply with the rules and policies of third-party platforms on which content may be published, including Amazon and YouTube.

WTI currently explains that its creators choose products they are genuinely interested in and that its POV videos are intended to represent genuine, unscripted perspectives.

3. Customer Product Information

The Customer is responsible for providing accurate information regarding the product, including its name, model, ASIN, SKU, UPC, instructions, safety information, warnings, and any information reasonably necessary to use or demonstrate the product properly.

The Customer represents and warrants that:

  1. it has the authority to submit the product to WTI;
  2. the product may lawfully be sold, shipped, demonstrated, photographed, and promoted;
  3. information and claims supplied to WTI are accurate and not misleading;
  4. the product complies with applicable laws, regulations, labeling requirements, and safety standards; and
  5. WTI’s authorized use of the Customer’s trademarks, product images, packaging, and information in connection with the purchased service will not infringe the rights of another party.

WTI is not responsible for independently verifying product claims supplied by a Customer.

4. Shipping Products to WTI or Creators

When a physical product is required, the Customer is responsible for shipping the correct product, together with all components, accessories, batteries, chargers, instructions, or other items reasonably necessary to operate and demonstrate it.

Unless WTI agrees otherwise in writing before shipment, products submitted for content creation are non-returnable and become the property of the recipient upon delivery.

Customers should not send prototypes, irreplaceable items, confidential materials, or products they expect to have returned unless a return arrangement has been approved by WTI in advance.

If WTI agrees to return a product, the Customer is responsible for all return shipping, insurance, handling, customs, duties, and related expenses unless otherwise agreed in writing.

5. Amazon POV Videos

WTI POV Videos are creator-generated product videos showing products in real-world settings.

WTI creators retain reasonable creative and editorial discretion over how they demonstrate and discuss products.

Customers may provide product information or suggested points; however, unless WTI specifically agrees to produce scripted content, those suggestions do not constitute a script and WTI does not guarantee that every requested point will appear in the finished video.

WTI’s current POV program similarly describes the content as unscripted and permits suggested talking points while leaving the creator discretion over whether to use them.

WTI will not require a creator to make a statement that the creator believes is false, misleading, or inconsistent with their genuine experience with the product.

If a creator encounters a significant problem with a product, WTI may contact the Customer before completing or publishing the content.

6. Ownership of WTI Content

Unless an order expressly states otherwise, all photographs, videos, recordings, livestream footage, graphics, creative works, and other content created by WTI or its creators remain the property of Vurn Media LLC and/or its applicable licensors.

Purchasing a WTI service does not automatically transfer copyright or ownership of the resulting content to the Customer.

Payment for content creation and ownership of that content are separate matters.

No copyright is transferred unless WTI expressly agrees to a copyright transfer or ownership purchase in writing.

This is consistent with WTI’s existing policy that WTI retains ownership of its POV content.

7. Standard POV Videos — No Usage Rights

When a Customer purchases an Amazon POV Video or other WTI content that does not expressly include Usage Rights, the Customer is purchasing WTI’s creation and publication of that content as described in the applicable order.

The Customer does not receive the right to download, copy, reproduce, edit, repost, advertise with, distribute, sublicense, or otherwise use the content in its own marketing.

The fact that a video is publicly viewable on Amazon, YouTube, WTI’s website, a social media platform, or another location does not give the Customer ownership or republication rights.

Customers may share a link to the original WTI publication unless otherwise prohibited by the applicable platform.

8. POV Video + Usage Rights

When a Customer specifically purchases POV Video + Usage Rights, WTI grants the Customer a permanent, worldwide, non-exclusive license to use the delivered, unwatermarked final video for the Customer’s lawful marketing and advertising purposes.

This includes use on the Customer’s:

  • Amazon listings and campaigns;
  • website;
  • social media channels;
  • digital advertisements;
  • email marketing;
  • retailer listings; and
  • other marketing channels.

WTI retains ownership and copyright in the content.

The license is non-exclusive. WTI therefore retains the right to publish, display, distribute, promote, archive, license, and otherwise use the content.

Unless specifically authorized in writing, Usage Rights do not permit the Customer to sell or sublicense the content as standalone content to an unrelated third party or claim ownership or authorship of the content.

The Customer may make reasonable technical modifications necessary for advertising or platform formatting, such as resizing, cropping, adding captions, or combining excerpts into a campaign, provided the modification does not materially misrepresent the creator’s statements or imply an endorsement the creator did not make.

9. Lifestyle Product Photography

For Lifestyle Product Photography packages, WTI will produce the number of finished photographs identified in the purchased package.

Vurn Media LLC retains ownership and copyright in the photographs.

The Customer receives a permanent, worldwide, non-exclusive license to use the delivered photographs for lawful marketing purposes, including Amazon listings, websites, retailer listings, advertisements, and social media.

Unless otherwise agreed in writing, photography services do not constitute a transfer of copyright ownership.

10. Livestream Placements

A Standard or Premium Livestream purchase provides placement of the Customer’s qualifying product in a WTI livestream as described in the applicable service package.

Livestream scheduling is subject to availability.

Premium placement may include special scheduling, expedited scheduling, deal-show placement, Prime Day, Black Friday, or other designated events when specifically stated in the purchased package.

Purchasing Premium placement does not guarantee a particular audience size or sales result.

WTI hosts retain reasonable editorial control over the livestream.

11. Existing POV Video Requirement for Livestreams

Where a livestream package requires an existing WTI POV video, the Customer must have an eligible WTI video available before placement.

WTI may use the existing video during the livestream and the host may introduce, discuss, demonstrate, or otherwise feature the Customer’s product.

WTI may refuse or reschedule placement if the necessary content or product information is unavailable.

12. No Guarantee of Sales or Performance

WTI creates and distributes content intended to increase product visibility, engagement, discoverability, and consumer understanding.

WTI does not guarantee sales, revenue, impressions, views, clicks, conversions, search ranking, product ranking, audience size, engagement, Amazon performance, advertising performance, or any other particular commercial result.

Marketing performance depends on numerous factors outside WTI’s control.

WTI’s website describes its content as designed to increase visibility, engagement, conversions, and sales; these are marketing objectives and not guaranteed outcomes.

13. Third-Party Platforms

WTI publishes and distributes content through third-party platforms that may include Amazon, YouTube, social networks, and other services.

WTI does not own or control these platforms.

Platform operators may change their:

  • algorithms;
  • content requirements;
  • monetization programs;
  • influencer programs;
  • advertising systems;
  • search rankings;
  • video placement;
  • livestream functionality;
  • policies; or
  • availability.

They may also remove, restrict, suppress, demonetize, or otherwise modify content or accounts.

WTI is not responsible for actions taken by third-party platforms or for changes in their programs, policies, algorithms, or services.

Publication on a specific third-party platform is therefore subject to that platform’s continued acceptance and availability.

14. Production Time and Scheduling

Any production dates, estimated completion dates, livestream dates, or publishing schedules provided by WTI are estimates unless expressly guaranteed in writing.

Production may be affected by shipping delays, creator availability, product issues, platform review, technical problems, holidays, weather, illness, or other circumstances outside WTI’s reasonable control.

Premium or expedited services receive the scheduling priority described in the applicable package but remain subject to availability.

15. Revisions and Creative Control

WTI POV content is intended to reflect an authentic creator perspective.

A Customer may request correction when content contains a material factual error regarding the product or materially demonstrates the product incorrectly.

WTI will determine whether a correction, edit, reshoot, or other remedy is reasonably appropriate.

A revision is not automatically available because a Customer dislikes a creator’s presentation style, wording, appearance, setting, creative choices, or genuine perspective.

The current WTI FAQ similarly limits edits to circumstances involving inaccurate statements or inappropriate demonstrations, subject to WTI’s determination.

16. Orders, Payments and Cancellations

Payment is due according to the price and payment terms displayed when the Customer places the order.

Unless otherwise stated in the applicable service description, orders become non-refundable once WTI has begun performance, including when:

  • a creator has been assigned;
  • a product has been shipped to or received by a creator;
  • photography or filming has begun;
  • production work has begun;
  • content has been completed;
  • a livestream placement has been scheduled; or
  • WTI has otherwise committed resources to fulfilling the order.

If WTI determines before production that it cannot reasonably fulfill an accepted order, WTI may issue a refund, credit, replacement service, or other appropriate remedy.

17. Customer Changes

Changes requested after an order is placed are subject to WTI approval.

Changes to the product, ASIN, creative requirements, shipping destination, creator, deliverables, scheduling, or other material order details may result in additional fees or require a new order.

18. Free or Promotional Content

WTI may occasionally offer free, promotional, discounted, application-based, or complimentary content.

Submission does not guarantee acceptance.

Unless WTI expressly states otherwise, free or promotional content does not include usage rights.

WTI may determine which products qualify based on category needs, audience interest, content gaps, product performance, creator interest, platform requirements, or other business considerations.

WTI currently makes this distinction on its application page, stating that selected free videos do not include usage rights.

19. Creator Independence

WTI creators and livestream hosts are selected based on factors including product fit, interest, experience, availability, and WTI’s production requirements.

Customers may request a particular creator, but WTI does not guarantee that the requested creator will accept or be available for the project.

Customers may not require WTI creators to make false, misleading, deceptive, or unsupported statements.

20. Intellectual Property of WTI

The WTI name, WTI | We Tried It name, logos, website, graphics, software, content library, photographs, videos, livestreams, production materials, and other WTI intellectual property are owned by or licensed to Vurn Media LLC.

Nothing in these Terms grants the Customer ownership of WTI intellectual property except for the specific licenses expressly granted with a purchased service.

21. Customer Trademarks and Materials

The Customer grants WTI a non-exclusive, worldwide, royalty-free license to use the Customer’s product names, trademarks, logos, packaging, product images, listing information, and other supplied materials as reasonably necessary to produce, publish, promote, distribute, and display the purchased WTI content and services.

This permission continues for as long as WTI is authorized to display or use the applicable content.

22. Indemnification

To the maximum extent permitted by law, the Customer agrees to defend, indemnify, and hold harmless Vurn Media LLC, WTI, their affiliates, officers, employees, contractors, creators, livestream hosts, and agents (the “Protected Parties”) from claims, damages, liabilities, losses, and reasonable costs and expenses, including reasonable attorneys’ fees, court costs, and expenses of investigation and defense, arising from:

  • the Customer’s product;
  • product defects or injuries;
  • inaccurate or misleading product information supplied by the Customer;
  • Customer-provided advertising or product claims;
  • infringement caused by materials supplied by the Customer;
  • the Customer’s misuse or unauthorized modification of WTI content; or
  • the Customer’s violation of these Terms or applicable law.

WTI will promptly notify the Customer in writing of any claim for which protection is sought under this section. A delay in notice will relieve the Customer of its obligations only to the extent the delay materially prejudices the defense of that claim.

For a covered claim brought against a Protected Party, the Customer must promptly assume and diligently conduct the defense at its expense, using qualified counsel reasonably acceptable to WTI. WTI will reasonably cooperate with the defense at the Customer’s reasonable expense.

If the Customer fails to provide a timely and adequate defense, or an actual conflict of interest requires separate counsel for a Protected Party, that Protected Party may retain its own counsel. The Customer remains responsible for reasonable attorneys’ fees and defense expenses to the extent attributable to claims covered by this section.

The Customer may not settle a covered claim without WTI’s prior written consent. WTI will not unreasonably withhold consent to a settlement that is fully paid by the Customer, provides an unconditional release of the affected Protected Parties, and imposes no admission of fault, payment obligation, or other obligation on them.

These obligations survive completion, cancellation, or termination of the applicable order.

23. Disclaimer of Warranties

To the maximum extent permitted by law, WTI services are provided on an “as is” and “as available” basis.

Except for obligations expressly stated in these Terms or an applicable order, WTI disclaims warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and guarantees regarding marketing or commercial performance.

24. Limitation of Liability

To the maximum extent permitted by law, Vurn Media LLC, WTI, their affiliates, creators, employees, contractors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost business opportunities, lost data, lost rankings, or lost sales.

To the maximum extent permitted by law, the combined total liability of Vurn Media LLC, WTI, their affiliates, creators, employees, contractors, and agents for all claims arising from any individual order or service will not exceed the amount actually paid by the Customer to WTI for the specific order or service giving rise to those claims. This is a single combined limit applicable to all such claims and all such parties relating to that order or service.

Nothing in these Terms limits liability that cannot lawfully be limited or excluded.

25. Unauthorized Use of WTI Content

WTI takes the ownership of its content seriously.

Using, downloading, copying, recording, reposting, distributing, editing, advertising with, or otherwise commercially exploiting WTI content without the applicable Usage Rights or written authorization constitutes unauthorized use.

WTI may take reasonable action to protect its intellectual property, including requesting removal of unauthorized content, submitting copyright or platform complaints, suspending services, and pursuing remedies available under applicable law.

26. Suspension or Refusal of Service

WTI may refuse, suspend, or terminate services when reasonably necessary because of:

  • violation of these Terms;
  • nonpayment;
  • fraudulent activity;
  • misuse of WTI content;
  • abusive conduct toward WTI personnel or creators;
  • unlawful products or activities;
  • platform compliance issues; or
  • other conduct that materially exposes WTI or its creators to legal, financial, reputational, or operational risk.

27. Force Majeure

WTI will not be responsible for delay or failure caused by circumstances beyond its reasonable control, including natural disasters, severe weather, war, government action, labor disruption, transportation interruption, internet or technology failure, third-party platform outages, carrier delays, or similar events.

28. Governing Law

These Terms and any dispute arising from them are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

Unless applicable law requires otherwise, the parties consent to the exclusive jurisdiction of the state and federal courts located in Florida for disputes arising from these Terms or WTI services.

29. Changes to These Terms

WTI may update these Terms from time to time.

Changes become effective when the updated Terms are posted to the WTI website with a revised effective date.

The Terms in effect when an order is placed will generally govern that order unless the parties agree otherwise or a change is required by law.

30. Entire Agreement

These Terms, together with the applicable order, service description, checkout information, and any separate written agreement between WTI and the Customer, constitute the agreement governing the purchased service.

If any provision is found unenforceable, the remaining provisions will remain in effect.

Failure by WTI to enforce a provision does not waive WTI’s right to enforce it.
